SPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPS DOES NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

LIMITATION OF LIABILITY. IN NO EVENT SHALL SPS’ TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SPS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

FORCE MAJEURE. SPS shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, government actions, or interruptions of internet service.

JURISDICTION AND GOVERNING LAW. These Terms are governed by the laws of the United States and the State of Minnesota. Any legal proceedings shall be brought in Minneapolis, Minnesota within one year of the claim arising.

ACCESSIBILITY. SPS endeavors to make its services accessible and usable to all users and complies with applicable accessibility laws and guidelines.

ENTIRE AGREEMENT. These Terms constitute the entire agreement relating to use of the Site. SPS’ failure to enforce any provision does not waive its rights.
